LEGAL HELP FOR SAN JOSE START-UPS
Start-up companies pose interesting and challenging issues. Our attorneys take a strategic view of each company, examining its growth path relative to its industry, creating commitments for its technology and creative team, instituting solid corporate governance documentation, and helping to prepare for financing and ultimate exit. Having been through a number of industry and financing cycles, we know that creation of a solid foundation is critical to ultimate success.
We approach each emerging growth company as an individual organism growing within a shifting ecosystem. Knowing that cash is a minimum for an early company, we assist the start-up in determining which services are critical, and which can be delayed. We first focus on the team, and provide the necessary advice toward equity incentives and intellectual property assignment. If the start-up is a corporation, we create critical corporate governance documentation to document adherence to legal procedures. We assist in early-stage funding through various vehicles, including convertible notes and short agreements for equity, and also assist in facilitating seed equity rounds, and substantial venture and strategic financings.
As indicated on our Technology Transfer and E-Commerce page, we are actively involved in negotiating and documenting our client’s commercial activities. Our attorneys are also experienced in mergers and acquisitions, and have worked on many private to private and private to public acquisition transactions generating substantial liquidity for start-up founders.
We also work with companies who have developed their technology overseas, but wish to enter the U.S. market through approaches ranging from simple sales office arrangements to corporate flip-ups.
We take great joy in watching our client companies grow and prosper and welcome each opportunity to assist our clients in creating unique devices and services. For more information on our start-up business services, contact us at (408) 478-4100.
