Forming Business Partnerships
Business Lawyers with Partnerships Expertise
Strategy Law, LLP works with businesses of all sizes, as well as real estate and professional services partnerships, from family partnerships to large real estate syndicates. Our partnership attorneys assist with the choice of entity to determine which entity is the best choice for your business, and how important liability protection is based on your business. We take your exit strategy into account in this decision. Based on that determination, we can form a general partnership, limited partnership, limited liability company, or limited liability partnership and draft the appropriate partnership agreement terms to help your partnership run smoothly.
Partnership agreements can be very simple or extremely complex, with terms governing management rights, transferability, tax allocations, cash distributions, rights to cause dissolution, buy-sell provisions, and other topics important to partnerships.
Our formation services include forming the partnership with the Secretary of State and making the appropriate filings with the Department of Business Oversight, Board of Equalization, Employment Development Department, Franchise Tax Board, Internal Revenue Service, Financial Crimes Enforcement Network, and professional organizations like the State Bar Association or Board of Accountancy, as appropriate.
We will create an organized binder for partnership documents, much like a corporate minute book, so that all of your documentation is in order in the event of an audit or due diligence for a potential sale. If a partnership is no longer right for your business, our attorneys will assist with dissolving the partnership or merging it into another form of entity, such as a corporation or LLC.
In addition to business partnerships, the attorneys at Strategy Law, LLP have particular expertise in forming and operating professional service LLPs for law, accounting, and architectural firms. We can also advise law firm partnerships on operational standards and have testified at trial as an expert witness on LLP partnership operations.
We represent many local San Jose law firms as well as law firms throughout the United States that want to open an office in California. We help with formation, LLP agreements, partner buy-outs, State Bar registration, and other law firm partnership needs.
