On January 1, 2014, California enacted an all new LLC Act in the California Corporations code, completely replacing the prior act. When we form an LLC for you, we do not just hand you a form package of documents and expect you to complete them appropriately. We will start by making sure an LLC is the best form of entity for you, taking into account the terms of the ownership agreement and the effect on California franchise taxes. We will consider whether you may be better off filing in another state and registering that foreign LLC in California. We can then take care of filings with the Secretary of State, Internal Revenue Service, Franchise Tax Board, Department of Business Oversight, Employment Development Department, Board of Equalization, and other state and federal agencies as appropriate. The LLC operating agreement will be tailored to your specific needs, ranging from a simple single member agreement to a complex multiple member operating agreement with buy-sell provisions and varying level of management authority. From the beginning, we will plan with the end in mind, including dissolution, sales and transfers. We will also work with you to satisfy any lender requirements for your business documentation. Throughout the operation of your business we will be available to assist with business, employment, technology, real estate, tax planning and other matters to protect your business and maintain the liability shield.
